CORPORATE AND COMPLIANCE SERVICES
Our team of professionals (corporate secretaries, a compliance officer and in-house legal counsel) will assist with the establishment of effecting documentary changes relating to the ongoing good governance of a fund. Traditional services include:
• New Fund Start Up Services — assisting the fund's counsel with the start-up procedures associated with launching a new fund
• Existing Fund Transfer Services — ensuring that the transfer of an existing fund to our group of companies from another administrator proceeds with minimum interruption
• Corporate Governance — arranging for and conducting meetings of directors of offshore funds. Meridian Fund Services also provides a Corporate Governance Best Practices solution for clients wishing to demonstrate the highest level of board oversight in accordance with current best practices regimes.
• Tending to various steps that are required in order to effect any changes that are being made to the structure and/or governance of a fund
• Arranging for and conducting meetings of directors of offshore funds whenever transactions require higher level consideration
• Calling and overseeing shareholder or partner meetings whenever required
• Providing Registered Office facilities required under Bermuda and Cayman law
• Ensuring that all necessary filings with regulatory bodies and stock exchanges with whom we are contractually required to make on behalf of our funds are made on a timely and accurate manner
• Conducting in-depth anti-money laundering procedures for any transactions referred to our compliance officer and appropriate follow-up where necessary
• Conducting initial and ongoing due diligence reviews of all clients and their service providers to ensure all parties meet internationally acceptable good corporate citizen standards
• Annually reviewing the adequacy and level of coverage of our own directors and officers, errors and omissions, and fidelity insurance and assisting our clients to obtain similar coverage, if requested
